Terms of Service

These Terms of Service ("Terms") govern your use of PeakClips. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. The Service

PeakClips is a subscription-based SaaS platform that automates the discovery, scoring, rendering, and social media publishing of short-form video clips for Twitch streamers. You grant us permission to access your Twitch account data and social media accounts as authorized during onboarding.

2. Eligibility

You must be at least 18 years old to use PeakClips. By using the service, you represent that you meet this requirement and have the legal authority to enter into these Terms.

3. Your Account

• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate information when creating your account.
• You may not share your account with others or create accounts for third parties without written permission.

4. Acceptable Use

You agree not to use PeakClips to:

• Process or publish content that violates Twitch's Terms of Service, the terms of any destination social platform, or applicable law.
• Process or publish content that is defamatory, harassing, hateful, sexually explicit, or promotes violence.
• Circumvent, disable, or otherwise interfere with platform security features.
• Reverse engineer, decompile, or attempt to extract source code from the platform.
• Use the platform to infringe on the intellectual property rights of others.
• Attempt to access other users' accounts or data.

5. Content and Intellectual Property

You retain ownership of your content (your clips, your channel, your brand). You grant PeakClips a limited, non-exclusive license to access, process, store transiently, and publish your content solely for the purpose of operating the service on your behalf. We do not claim ownership of your content.

PeakClips retains ownership of the platform, its underlying code, AI models, scoring algorithms, and all associated intellectual property. Nothing in these Terms transfers any platform IP to you.

6. Third-Party Platforms

Publishing through PeakClips requires authorization to post to social media platforms on your behalf. You are responsible for ensuring your use of those platforms complies with their respective terms. PeakClips is not liable for content takedowns, account actions, or policy enforcement by third-party platforms.

7. Subscription and Billing

PeakClips is offered on a subscription basis. Details of current plans, pricing, and billing cycles are published on peakclips.tv. By subscribing, you authorize recurring billing to your payment method on the schedule associated with your plan.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PUBLISHED CONTENT WILL REACH ITS INTENDED AUDIENCE. SOCIAL PLATFORM ALGORITHM AND POLICY CHANGES ARE OUTSIDE OUR CONTROL.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEAKCLIPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold PeakClips harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the service, your content, or your violation of these Terms.

11. Termination

You may cancel your account at any time. We may suspend or terminate your account for violation of these Terms, non-payment, or for any other reason with reasonable notice. Upon termination, your access to the service will cease and your data will be handled per our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Pinellas County, Florida.

13. Changes to These Terms

We may update these Terms. Material changes will be communicated by email or in-app notice at least 14 days before taking effect. Continued use of the service after that date constitutes acceptance.
